1. Provider and definitions
Digital services are marketed under WISNOVA Digital Studio by the business identified by Dutch Chamber of Commerce number KVK 64716694 and VAT ID NL789684990B01. The contracting business’s full legally registered name and contact details must be stated on the Company details page and in the quotation before an agreement is made. The business address is Klompenmakerstraat 39 A, 3192 DD Hoogvliet, Netherlands; contact: info@wisnova.nl. WISNOVA is not represented as a separate legal entity.
2. Application and mandatory law
These terms apply to contracts with businesses and consumers. An individual written quotation describes the agreed work and any special arrangements. Mandatory consumer law prevails over any conflicting clause. These terms are supplied before acceptance in a format customers can save.
3. Quotes and contracts
The quotation specifies the scope, expected deliverables, price, milestones, delivery format and included services. It remains valid for the stated period or, if none is stated, 30 calendar days.
4. Services and project scope
Services may include website design and development, graphic design, branding, SEO, digital automation and related activities. Only items expressly included in the quotation are included in the agreed fee.
5. Customer cooperation
The customer supplies required copy, images, logos, access credentials, technical information and approvals in a timely manner and confirms it has the right to use supplied materials.
6. Schedule and deadlines
Schedules are targets unless a binding deadline has been expressly agreed. The provider will notify the customer of foreseeable delays as soon as practical.
7. Revisions and additional work
Unless a quotation states otherwise, a website or design assignment includes two reasonable revision rounds within the agreed scope. A round is one consolidated list of requested changes to a submitted version.
8. Staging and project acceptance
Customers receive a private preview or a staging link before launch and may check the agreed scope and report defects. Final acceptance is confirmed in writing or electronically. Approval does not waive mandatory statutory rights for non-conforming goods or services.
9. Prices, invoices and payment
Business prices are exclusive of VAT unless expressly stated otherwise. Consumer prices include applicable compulsory taxes. Deposits and milestones are set out in the quotation.
Invoices are payable within 7 calendar days of receipt.
Domain registration, hosting, third-party software, payment providers and advertising budgets are included only when expressly stated in the quotation.
10. Website launch and handover
The website is launched on the agreed production domain only after the full payable project fee has been received, unless the parties agree otherwise in writing. Before payment, the customer may review a protected staging version. This condition does not override mandatory statutory rights for non-performance or non-conformity. A customer’s own domain or data must not be withheld without lawful grounds.
11. Domains, hosting and third parties
The quotation specifies the domain registrant, hosting contract holder, account administrator, ongoing charges and files to be handed over. Domains should normally be registered directly in the customer’s name. External providers also apply their own pricing and conditions.
12. Intellectual property and licences
The customer retains rights to materials it supplies. Third-party images, fonts, open-source code and other components remain subject to their respective licences.
The provider may only feature completed work in its portfolio with consent and without disclosing confidential information.
13. SEO, marketing and AI services
SEO and digital marketing are best-efforts services. Search rankings, traffic, leads, revenue and advertising performance are not guaranteed.
SEO, advertising and AI automations are normally obligations of reasonable efforts. Specific search rankings, sales volumes or flawless AI output are not promised. AI-generated text, designs and code may contain errors and need review before publishing. The quotation identifies relevant external platforms, expenses and data-processing arrangements.
14. Privacy, confidentiality and GDPR
Both parties protect non-public commercial information except as permitted by law or consent.
15. Maintenance, updates and defects
The provider corrects verifiable departures from agreed specifications within a reasonable period. Post-launch support, updates, backups, security checks and response times must be specified in the quotation or a separate maintenance agreement.
16. Subscriptions and ongoing services
Hosting, updates, SEO maintenance and support are recurring services only if expressly ordered. The service agreement states the price, term, renewal, termination process and handover procedure. Consumer protections on renewal and cancellation continue to apply.
17. Liability and force majeure
The parties are responsible for attributable contract failures under applicable law. For business customers, compensation for proven direct loss may, to the extent legally permitted, be limited to the amount paid for the relevant project.
18. Complaints, governing law and disputes
Complaints may be submitted in writing to the published business contact address. The provider will acknowledge them within a reasonable time and seek a suitable resolution.
19. Special terms for business customers (B2B)
This article applies only to customers acting in the course of trade or business. Business customers do not automatically have the statutory 14-day consumer withdrawal right. Cancellation and settlement of performed work and reasonable expenses follow the quotation and applicable law. Liability limitations apply only where lawful, excluding situations such as intentional misconduct or deliberate recklessness. Payment delay does not itself permit unlawful retention of a customer’s domain or data.
20. Special terms for consumers (B2C)
This article applies to consumers. For distance contracts for services, there is generally a 14-day withdrawal period from contract conclusion, subject to statutory exceptions. Consumers receive clear pre-contract information on the service, full VAT-inclusive price, duration, complaints and withdrawal. If a consumer specifically asks for service to begin before the withdrawal period ends, legally required requests, consents and confirmations are obtained separately; any charge on withdrawal is subject to the law. Where contracts are concluded online, a legally required online withdrawal function will be made available. Mandatory rights to conformity, repair, price reduction, termination and complaints remain intact.
